The response to the supervening change in contractual circumstances due to social and economic vulnerability

Resumen:

Mantener el equilibrio entre el principio pacta sunt servanda y el principio rebus sic stantibus no es fácil en la práctica, pero es una exigencia en todo ordenamiento jurídico. El posible reconocimiento legal de la primacía de uno sobre otro pone en peligro la justicia y seguridad jurídica, por lo que el tratamiento legal de ambos debe realizarse en un clima de equilibrio jurídico que tenga como finalidad, atendiendo a las circunstancias del caso, delimitar qué es lo más justo para ambas partes contratantes. Admitiendo el carácter vinculante de lo inicialmente pactado, cabe reconocer la modificación y, en su caso, la resolución como excepción, cuando se produce una alteración sobrevenida de las circunstancias atendiendo al contenido del contrato.

Abstract:

Maintaining the balance between the pacta sunt servanda principle and the rebus sic stantibus principle is not easy in practice, but it is a requirement in any legal system. The possible legal recognition of the primacy of one over the other endangers justice and legal certainty, which is why the legal treatment of both must be carried out in a climate of legal equilibrium that aims, taking into account the circumstances of the case, to determine what is fairest for both contracting parties. Admitting the binding nature of what was initially agreed, it is possible to recognize modification and, where appropriate, termination as an exception, when there is a supervening alteration of the circumstances based on the content of the contract.
